A.I.S. Resources Completes Peru Manganese Trade, Zambian Ores Assay 53% Mn

Vancouver, British Columbia – A.I.S. Resources Limited (TSX: AIS, OTCQB: AISSF) (the “Company” or “AIS”) announces that it has received payment for the first 292 DMT (“dry metric tonnes”) of Manganese fines sold in November 2019. There was no discrepancy between the China Import Quarantine (“CIQ”) and Veritas Peru certificate of chemical analysis. The buyer paid the benchmark price of US$3.70 per DMTU and the final grade was 42.75% Mn.

 AIS has sourced very high quality manganese from its Zambian supplier which will be sold on a CIF basis from Dar Es Salaam Port in Tanzania. The ore was independently assayed by our Chinese buyer with an assay of 53.66% Mn with low iron, silica and aluminum. We will move to contracts after the Chinese New Year. 

We have 1,000 tonnes of 42% manganese fines ready for sale in Peru and we have negotiated an acceptable price for 30,000 tonnes of 42% Mn from Brazil. We have sent term sheets to a number of buyers we have been communicating with.

A.I.S. Resources Extends Warrants

Vancouver, British Columbia – A.I.S. Resources Limited (TSX: AIS, OTCQB: AISSF) (the “Company” or “AIS”) announces that it intends, subject to TSX Venture Exchange approval, to extend the term of 12,622,222 warrants expiring on February 26, 2020. A.I.S. Resources Signs LOI to Exploit Manganese Deposit in Panama

Vancouver, British Columbia – A.I.S. Resources Limited (TSX: AIS, OTCQB: AISSF) (the “Company” or “AIS”) announced today that the Company has entered into an access agreement with the land owner to conduct exploration on an existing manganese mine and major deposit northwest of Panama City near Palenque, Panama.

Highlights of the A.I.S. Resources Transaction:

  • The project was visited on October 17, 2019 and samples were taken from an outcrop adjacent to a 60 metre deep mine shaft where manganese was extracted in the 1990’s. Also observed were several shallow shafts and remnants of a railway line that had been installed to move the manganese off the hill to the road.
  • A number of samples weighing approximately 900 gms were assayed by AlsGlobal in Adelaide, Australia. The results were very encouraging with Mn values of 58.03%, more than 14% above the 44% benchmark.

  • The agreement provides for exclusive exploration rights on a 74-hectare concession while AIS performs due diligence. AIS will engage a local geologist to complete mapping, logistics planning, technical/safety/OHS of mine shaft, Mn chemical analysis, trenching and geophysics to determine the feasibility of recommencing mining operations. If the results are positive the Company will proceed with a mine engineering plan to commence production at the estimated rate of 10,000 tonnes a month or 350 tonnes per day.

Guayatayoc Salar – Argentina
AIS received an extension on the Guayatayoc option to December 15, 2019 at no extra cost. The Company has decided to relinquish the option as the Secretary of Mines has made no progress toward arranging a UGAMP meeting nor setting time limits on the discussion period for exploration programs. AIS will monitor conditions in Argentina with a view toward re-engaging operations when circumstances improve.

In the midst of tax loss selling across many sectors—not just battery metals (lithium, cobalt, manganese, vanadium, etc.) but cannabis/hemp segments as well (and most other metals/mining/mineral sectors)A.I.S. Resources Ltd. (AIS:TSX.V; AISSF:OTSQB) recently announced good news. Is the market ignoring ongoing positive developments at the company?

Management has successfully arranged for the supply of up to 30k tonnes/month of high-grade (48%–52%) Manganese (Mn) to China and is embarking on a trial shipment of 5–10k tonnes. Reaching this significant tonnage (which is not a sure thing) has been a consistent goal since April/May. If A.I.S. achieves 20k–30k tonnes/month, it would be an excellent outcome, assuming it can consistently deliver in that range.

Management has arranged the Mn sourcing with two African suppliers, and is negotiating a supply agreement with giant, multi-billion dollar Erdos Group, one of the world’s largest buyers of Mn. A.I.S. has issued a term sheet for a trial shipment of 5–10k tonnes, expected in January. The fact that Erdos is willing to work with A.I.S. is an impressive vote of confidence in the management team.

The trial shipment will reportedly gross ~US$2 million, subject to a final delivered grade of ~50% Mn. A.I.S. will be responsible for all logistics, including quality control, assays, shipping and related activities.

Additional suppliers from Brazil and Panama, among other places, have approached management about selling ore into A.I.S.’ trading strategy. Negotiations are underway. Importantly, detailed discussions are being held with trade and project financiers from London, Dubai and Canada to facilitate payments for the purchase and shipment of Mn ore to China. Although a risk factor, management believes that obtaining trade financing will not be problem.

This news comes on the heels of another positive development, but one that failed to capture investor’s need for instant gratification. On October 24th, management locked down an option to acquire an initial 51% interest in a gold mine in northern Peru. The mine is currently producing small quantities of gold.

After completing due diligence and determining the extent and concentration of gold mineralization, A.I.S. will contribute US$500k worth of equipment and technical expertise to increase mine productivity. Low-cost due diligence efforts will focus on drilling, soil sampling, mapping and design of a process circuit. The target is 8–10 vein systems with up to 5,000 tonnes of ore in each, grading 10g/t Au or better.

Investors have questions about this new gold project: How long will it take to do proper due diligence? Will A.I.S. need to raise additional equity capital? Company-wide funding is a concern; management needs to come up with trade finance for Mn trading, cash or a gold loan for the new gold project, and US$1 million for a 15% investment in a private lithium extraction technology company.

Readers may recall that on October 8th, A.I.S. signed an option agreement with Ekos Research, requiring an investment of US$1 million, for a 15% stake in a breakthrough lithium solvent extraction process that produces lithium chloride with 99.2% purity, but more importantly can manage high-magnesium bearing brines found in salars in Argentina like Rincón and Salinas Grandes.

Rapid lithium extraction (without solar evaporation ponds), with high recoveries and purity levels, and a strong environmental profile, is the holy grail. There are dozens of technologies in the works, but none (that I’m aware of) are operating at full commercial scale anywhere in the world.

Management gave me an example of a 20,000 tonne per year lithium carbonate plant that could reduce its cap-ex from $560 million to $210 million by using this new technology. With no evaporation ponds, the process can easily be turned on and off, and there’s no ground water issues.

How far will US$1 million take this emerging technology? While I have respect for the A.I.S. technical team being able to expertly evaluate a promising lithium extraction technology, it could take years to reach meaningful cash flow (net to the company’s 15% interest).

Ekosolve is building a semi-commercial scale demonstration plant for under US$1 million, so the cash contributed by A.I.S will go directly into this demonstration plant with a nine-month build. I’m told there is at least one producer having their brines tested now.

Is management spreading themselves too thin? The company is now reportedly pursuing three projects at once; lithium technology, manganese trading and a gold joint venture, spanning several countries (Peru, Australia, Tanzania, China). Management doesn’t think so, and they’re only actively spending on Mn trading at the moment. Gold project due diligence costs are said to be minimal.

CEO Phil Thomas has more than 17 years’ experience in lithium technologies being highly qualified in geochemistry especially lithium, worked for more than 15 years in trading ores and has explored and operated five gold mines, with eight staff in Peru and two in China. Phil is based in Australia.

Yes, the shares of A.I.S. Resources remain highly speculative, but the upside potential is bigger than ever before. Can a company with a $3.8 million market cap (83.4 million shares at $0.045) move its Mn project forward over the next 3, 6, 12 months without massive equity dilution?

I like the diversification here, Mn, Au (gold) + a Li extraction technology. Management saw the decline in lithium prices and prudently dropped their Guayatayoc lithium project. Consider the difference in pricing of lithium (down a lot) and gold (up moderately). A year ago, A.I.S. was solely an Argentina lithium brine play. If management had not branched out into other sectors, the company would be dead in the water like many others in South America’s Lithium Triangle.

If all goes according to plan, which is rarely the case for somewhat complex logistical operations, A.I.S. has the opportunity to become cash flow positive within six months. I think it’s great that cash flow from Mn trading could be deployed into a gold project rather than a lithium brine story in Argentina.

Although the avoidance of further equity dilution is very important to the management team, readers should probably assume some equity issuance as a necessary evil. A.I.S. should be able to get by with a modest raise before reaching cash flow break even next year. There’s reason to expect only minimal equity dilution because management believes it can secure trade/working capital financing. The announcement of non-dilutive financing working cap would be a tremendous de-risking event.

Bottom line, A.I.S. Resources (TSX-V – AIS, OTCQB: AISSF) is worth a lot more than $3.8 million if it can reach 20k–30k tonnes/month of Mn trading. Management has a number of boxes checked in this endeavor, but there are more boxes to tick.

Working with Erdos and sending them a sizable (trial) bulk shipment is great news, but timing is everything. A three-month delay in reaching 20k–30k tonnes/month could make a big difference in the number of shares outstanding.

However, to reiterate, if all goes reasonably as planned, there’s substantial upside from the current $3.8 million valuation.

A.I.S. Resources Arranges Supply of 30,000 Tonnes a Month of Manganese Ore and Commences Sale Negotiations with Erdos Group

Vancouver, British Columbia – A.I.S. Resources Limited (TSX: AIS, OTCQB: AISSF) (the “Company” or “AIS”) announced today that the Company has arranged supply of 30,000 tonnes a month of Manganese ore grading 48-52% Mn and has commenced sale negotiations with Erdos Group, one of the world’s largest buyers of Manganese. AIS has issued a term sheet for a trial shipment of 10,000 tonnes of Manganese to Erdos.

 Highlights of the A.I.S. Resources Transaction

Erdos Group (Inner Mongolia Eerduosi Resources Co Ltd) is active in metals, energy and textiles.  It has a current market value of US$9.5 Billion and operations in Inner Mongolia where most large silicon-manganese producers are located due to the very low cost of power.

  • AIS will be buying on an FOB basis and selling CFR to Tianjin China. Shipping will be out of the Dar es Salaam Port in Tanzania.
  • Our suppliers’ grade is very high assaying at 52% Mn.
  • The trial shipment will gross approximately US$2,000,000 subject to the final CIQ China assay of the Manganese being approximately 50% Mn.
  • AIS will oversee quality control and assay, shipping and other logistics related key processes.
  • Other suppliers have approached AIS about replicating this trading strategy and discussions on supply based on grade have begun. 
  • The payment from Erdos will be by letter of credit of which 95% can be processed 10 days after the ship leaves Dar es Salaam.
  • Detailed discussions are being held with trade and project financiers to accommodate the payment of shipping and manganese ore.

A.I.S. Resources Arranges a Monthly Manganese Supply of 1,500 Tonnes and Sells Initial Shipment of 454 Wet Metric Tonnes Manganese

Vancouver, British Columbia – A.I.S. Resources Limited (TSX: AIS, OTCQB: AISSF) (the “Company” or “AIS”) announced today that the Company has arranged 1,500 tonnes a month of manganese supply. 

 Highlights of the AIS Resources Manganese Production from Peru:

  • AIS has contracted 1,500 tonnes per month of supply from the following sources:
    • Arce Manganese group has 1,000 tonnes available for supply and can provide 1,000 tonnes per month of 43% Mn.
    • San Jorge mine has 525 tonnes ready to ship to the specification contracted. A sample of the 525 tonnes mined showed 54% MnO. This supply has been paid for.
  • AIS has paid a deposit to Sudamerica for 500 tonnes of 44% lump manganese (“Mn”).

  • We are obtaining quotes to ship from Salaverry Peru, reducing our trucking costs and shipping by loading bags directly into the hold of handymax ships.
  • The current market price for low iron content Manganese is $4.35 per point or at 44% MN benchmark $191.40 per Wet Metric Tonne. Our suppliers have lowered their prices in line with the reduction in the market price to enable A.I.S to maintain profits.

Expanding Supply of Manganese

  • Our CEO visited Bolivia in the past week and has sampled the seller’s ore which assayed at 59.4% MnO or approximately 45.7% Mn. They have the capacity to produce 30,000 tonnes per month and the resource is estimated at 1,000,000 tonnes. The product will be shipped from Antafagasta in Chile. AIS is currently investigating trade finance for up to $5 million per month.

  • We are negotiating with a supplier from Namibia for 10,000 tonnes a month of 44% Mn, on a CFR basis Tianjin, China.

Our CIQ certificate will open the door to access many more buyers around the world and key Japanese traders.” AIS Resources President and CEO, Phillip Thomas stated, “The use of manganese in steel is expanding from the construction industry to the high wear mining equipment market. For example, Xtraalloy steel has 24% Manganese. We will be targeting these producers who require up to 50,000 tonnes a month”.

AIS Resources Sells 454 Tonnes Manganese to Chinabase
AIS has sold 454 tonnes of manganese to Chinabase, a large trading company in China. The 21 containers are currently being sampled by China Import and Quarantine (“CIQ”). Payment is expected when CIQ is completed.

A.I.S. Resources Signs Option Agreement on New Lithium Solvent Extraction Technology

Vancouver, British Columbia – A.I.S. Resources Limited (TSX: AIS, OTCQB: AISSF) (the “Company” or “AIS”) announced today that it has signed a 120 day  option agreement with Ekos Research to invest US$1m for 15% equity in its break-through SOLVEX solvent extraction process.

Highlights:

  • The process is the culmination of three years research and development by Ekos Research, University of Melbourne and University of Tsinghua, China.
  • Lithium extraction rates exceeded 99% and were able to produce greater than 99.2% purity lithium.  More than 90% of the solvents can be reclaimed and it has 98.5% efficiency in removing major ions such as magnesium, calcium, potassium and boron.
  • The process is much more economic than fractional crystallization as no ponds are required, reducing the investment by more than 60%. It is very efficient at handling high magnesium brines that pose a serious recovery problem using other technologies such as membranes, reverse osmosis, ion exchange and fractional crystallization.
  • The US$1m investment will go towards building a pilot plant in Melbourne that will be subsequently shipped to Salta, Argentina, where brines will be processed to demonstrate commercial viability.
  • Pilot plant construction is expected to be completed 9 months after funding is received.

A.I.S. Resources Closes Financing

Vancouver, British Columbia – A.I.S. Resources Limited (TSX: AIS, OTCQB: AISSF) (the “Company” or “AIS”) is pleased to announce that it has completed the sale of 2,322,250 units (“Units“) at $0.08 per unit for gross proceeds of $185,780, (the “Private Placement“). The proceeds will be used for general working capital purposes.

Each Unit consists of one common share and one transferrable share purchase warrant. Each warrant will entitle the holder thereof to purchase one additional common share for a period of 12 months from the closing date of the offering at a price of $0.12 per common share provided that if the closing price of the common shares of the Company on any stock exchange or quotation system on which the common shares are then listed or quoted is equal to or greater than $0.15 for a period of fifteen (15) consecutive trading days, the Company will have the right to accelerate the expiry of the warrants to a date that is not less than ten (10) business days from the date notice is given. The Company will pay no finders fees in relation to the Private Placement. The Common Shares issued pursuant to the Private Placement and the exercise of the warrants will be subject to a hold period of four months and one day from the closing date of the Private Placement, in accordance with applicable Canadian securities laws. A.I.S. Resources Produces Next 1,000 Tonnes Manganese and Receives Strong Buying Interest at Ulanqab FerroAlloyNet Manganese Conference

Vancouver, British Columbia – A.I.S. Resources Limited (TSX: AIS, OTCQB: AISSF) (the “Company” or “AIS”) announced today that 1,000 tonnes of manganese has been mined, consistent with our production target of 1,000 tonnes to be produced every two weeks.

 AIS Resources’ Updated Highlights of Our Current Manganese Production:

  • 600 of the next 1,000 tonnes has been bagged and readied for road transport to the port.
  • At the port bags will be emptied and loose manganese ore will be loaded in containers thereby eliminating the $60 bag cost per container. More importantly this shipping method enables AIS to completely fill the containers and ship higher tonnage reducing shipping cost per tonne.
  • To date, government customs analysis has certified the 21 containers sent at 43.24% Mn and 1.57% Fe.
  • The next shipment of 1,000 tonnes is expected to be shipped mid-September with a total of 2,000 tonnes to be completed by the end of September.

AIS Resources’ Contractor Working On the Victor Mine
Two excavators are currently working at the Victor mine site and two more pits will be opened at the San Jorge mine allowing us to fulfill our production schedule. This helps us continue to move toward our short-term target of producing 10,000 tonnes a month. 

AIS President Attends FerroAlloyNet 16th International Manganese Products Conference
AIS Resources CEO, Phillip Thomas attended the FerroAlloyNet Conference where he engaged a number of significant buyers and traders in discussions to buy manganese from AIS in Peru. There was a strong preference for buying from Peru versus Brazil or Africa due to the country’s stable production environment and mining focus.
